JTL-Wawi“
0. Grundlagen
Diese Lizenzbestimmungen in ihrer zum Zeitpunkt der Bereitstellung der Software geltenden Fassung regeln das Rechtsverhältnis zwischen der JTL-Software GmbH (JTL-Software) und dem Nutzer dieser Software (Nutzer).
Die Software JTL-Wawi enthält neben den von JTL-Software erstellten proprietären Komponenten auch Komponenten, die aufgrund Rechteeinräumungen Dritter zusammen mit der Software vertrieben werden. Diesen Lizenzbestimmungen folgt eine Liste der Komponenten zusammen mit den jeweils einschlägigen Lizenztexten bzw. einem entsprechenden Verweise auf diese.
Die vorliegenden Lizenzbestimmungen beziehen sich dementsprechend nur auf die proprietären Komponenten.
1. Begriffsbestimmungen
a. JTL-Software JTL-Software bezeichnet die Firma JTL-Software-GmbH, Rheinstr. 7, 41836 Hückelhoven. Diese ist Inhaberin des Urheberrechts und sonstiger gewerblicher Schutzrechte an der Software „JTL-Wawi“ und Vertragspartner des Nutzers für die Nutzung der JTL-Wawi.
b. Nutzer Nutzer bezeichnet denjenigen Verwender der JTL-Wawi, der diese als Unternehmer im Sinne von § 14 BGB zu beruflichen Zwecken in seinem Unternehmen einsetzt.
c. JTL-Wawi JTL-Wawi bezeichnet eine Software, die ein Warenwirtschaftssystem bereitstellt.
2. Vertragsschluss
Der Vertragsschluss zwischen JTL-Software und dem Nutzer kommt mit dem Download durch den Nutzer zustande. Es steht JTL-Software frei, das Downloadangebot jederzeit einzustellen.
3. Rechteeinräumung
a. JTL-Software behält sich an der JTL-Wawi alle Rechte vor, sofern diese nicht durch diese Lizenzbestimmungen ausdrücklich eingeräumt werden.
b. JTL-Software räumt dem Nutzer ein einfaches, zeitlich unbefristetes Nutzungsrecht an der JTL-Wawi ein (Lizenz).
Die Lizenz berechtigt den Nutzer, die Software im Objektcode von den Internetseiten von JTL-Software herunterzuladen und auf eigenen EDV-Systemen zu speichern.
Die Lizenz berechtigt den Nutzer, die heruntergeladene Software auf beliebig vielen Computern innerhalb des Unternehmens des Nutzers zu installieren und ablaufen zu lassen.
Die Lizenz berechtigt den Nutzer ferner, die Software auch auf eigenen Servern im Internet zu installieren und im Wege des Fernzugriffs darauf zuzugreifen. Der Nutzer ist ferner berechtigt, das Webhosting und die Installation der Software durch Dritte erbringen zu lassen, soweit der Nutzer auf die Software allein zu eigenen Zwecken verwendet.
c. Dem Nutzer ist jedoch untersagt, die Software ganz oder teilweise zu vermieten oder zu verleasen, die Software zu übersetzen, zu bearbeiten oder anderweitig umzugestalten, die Software unterzulizenzieren oder die Software drahtgebunden oder drahtlos öffentlich wiederzugeben, einschließlich der öffentlichen
Zugänglichmachung in der Weise, dass sie Mitgliedern der Öffentlichkeit von Orten und zu Zeiten ihrer Wahl zugänglich ist.
d. Dem Nutzer ist es ferner untersagt, die Software zu dekompilieren, zu disassemblieren oder zurückzuentwickeln („Reverse Engineering“), es sei denn, der Kunde ist hierzu nach einschlägigem zwingenden Urheberrecht berechtigt.
e. Alle Rechte an dem Quellcode der Software stehen ausschließlich JTL-Software zu. Der Nutzer hat keinerlei Anspruch auf den Quellcode oder Herausgabe des Quellcodes. § 69e UrhG bleibt unberührt.
4. Schutzmaßnahmen
Dem Nutzer ist es untersagt, technische Maßnahmen zum Schutz der Software zu umgehen.
5. Sach- und Rechtsmängel
a. JTL-Software, seine Erfüllungsgehilfen und gesetzlichen Vertreter haften bei Sachmängeln für unmittelbare Mangelschäden, die dem Nutzer entstehen, weil diesem ein Fehler der Software arglistig verschwiegen wurde, und bei Mangelfolgeschäden, die auf vorsätzlichem oder grob fahrlässigem Handeln von JTL-Software, seinen Erfüllungsgehilfen oder seinen gesetzlichen Vertretern beruhen.
Eine weitergehende Gewährleistung für Sachmängel ist ausgeschlossen. Fehlerbehebungen erfolgen nur durch Updates, solange JTL-Software die Software zum Download anbietet.
b. JTL-Software sind keine Rechtsmängel an der Software bekannt. JTL-Software, seine Erfüllungsgehilfen und seine gesetzlichen Vertreter haften bei Rechtsmängeln nur für Schäden, die dem Nutzer entstehen, weil diesem ein Rechtsmangel an der Software arglistig verschwiegen wurde.
Eine weitergehende Gewährleistung für Rechtsmängel ist ausgeschlossen.
6. Haftung
JTL-Software, seine Erfüllungsgehilfen und seine gesetzlichen Vertreter haften nur für Vorsatz und grobe Fahrlässigkeit, eine weitergehende Haftung ist ausgeschlossen. Die Haftung nach dem Produkthaftungsgesetz bleibt unberührt.
7. Lizenzerwerb
a. Während die JTL-Wawi selbst kostenfrei heruntergeladen und nach diesen Lizenzbestimmungen genutzt werden kann, bedürfen gesonderte, jedoch bereits mitgelieferte Programmbestandteile (z.B. JTL-
WMS) zur Lauffähigkeit eines Lizenzschlüssels.
b. Dieser Lizenzschlüssel kann nach Eröffnung eines Kundenkontos im
Kundencenter von JTL-Software erworben werden. Dieser Vertrag unterliegt ergänzend den Allgemeinen Geschäftsbedingungen von JTL-Software.
c. JTL-Software ist in der Entscheidung über die Veräußerung von Lizenzschlüsseln frei. Die Einräumung von Rechten nach diesen Bestimmungen bedeutet noch keinen Abschluss eines Vertrages über die Bereitstellung eines Lizenzschlüssels.
d. Soweit JTL-Software den Abschluss eines Vertrages über den Erwerb eines Lizenzschlüssels ablehnt, einschränkt, nur unter bestimmten Voraussetzungen gewährt oder zeitlich beschränkt, bedeutet dies ggf., dass die nach diesen
Bestimmungen eingeräumten Rechte nicht in jeder Hinsicht ausgeübt werden können.
8. Schlussbestimmungen
Diese Lizenzbestimmungen unterliegen im Hinblick auf sämtliche Rechtsbeziehungen aus diesem Vertragsverhältnis die Anwendung des Rechts der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts.
Sofern der Kunde Kaufmann im Sinne des Handelsgesetzbuchs, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen ist, wird für sämtliche rechtlichen Auseinandersetzungen, die aufgrund dieser Lizenzbestimmungen entstehen, der Geschäftssitz von JTL-Software als ausschließlicher Gerichtsstand vereinbart.
Lizenzbestimmungen „jtlconnector“ und „JTL-Endpoints“

1.Definitionen
a.JTL-Software

c.jtlconnector
jtlconnector bezeichnet eine Softwarebibliothek, die eine Schnittstelle zu dem von JTL-Software entwickelten Warenwirtschaftssystem „JTL-Wawi“ bereitstellt. Sie kann dazu verwendet werden, um über so genannte „Endpoints“, eine weitere Software, eine Verbindung zu am Markt bei Dritten erhältlichen Onlineshopsystemen oder sonstigen elektronischen Handelsplätzen herzustellen. jtlconnector bietet dabei Datenstrukturen und legt die grundlegende Verhaltensweise dieser Softwareprodukte fest.
d.JTL-Endpoint
Ein JTL-Endpoint ist ein Softwareprogramm, das die von jtlconnector bereitgestellte Schnittstelle verwendet, ansonsten aber nicht auf jtlconnector basiert. Der Endpoint ist darauf ausgelegt, über den jtlconnector mit der Software „JTL-Wawi“ zusammenzuarbeiten.
e.JTL-Wawi
JTL-Wawi bezeichnet eine von JTL erstellte Software, die ein Warenwirtschaftssystem bereitstellt.
2.Bereitstellung
Der Vertragsschluss zwischen JTL-Software und dem Nutzer kommt mit dem Download durch den Nutzer zustande. Es steht JTL-Software frei, das Downloadangebot jederzeit einzustellen.
3.Rechteeinräumung
a.JTL-Software behält sich an jtlconnector und den JTL-Endpoints alle Rechte vor, sofern diese nicht durch diese Lizenzbestimmungen ausdrücklich eingeräumt werden.
b.JTL-Software räumt dem Nutzer ein einfaches, zeitlich unbefristetes Nutzungsrecht an jtlconnector und dem JTL-Endpoint ein (Lizenz).

c.Dem Nutzer ist jedoch untersagt, die Software ganz oder teilweise zu vermieten oder zu verleasen, die Software zu übersetzen, zu bearbeiten oder anderweitig umzugestalten, die Software unterzulizenzieren oder die Software drahtgebunden oder drahtlos öffentlich wiederzugeben, einschließlich der öffentlichen Zugänglichmachung in der Weise, dass sie Mitgliedern der Öffentlichkeit von Orten und zu Zeiten ihrer Wahl zugänglich ist.
d.Dem Nutzer ist es ferner untersagt, jtlconnector oder den JTL-Endpoint in irgendeiner Weise zu bearbeiten oder abzuändern, es sei denn, der Nutzer ist hierzu nach einschlägigem zwingenden Urheberrecht berechtigt.
4.Schutzmaßnahmen
a.Dem Nutzer ist es untersagt, technische Maßnahmen zum Schutz der Software zu umgehen.
b.Der jtlconnector bzw. der JTL-Endpoint bedürfen zur Lauffähigkeit eines Lizenzschlüssels.
Der Nutzer ist unter keinen Umständen berechtigt, den Quellcode des jtlconnectors dergestalt zu modifizieren, dass dieses Lizenzschlüsselerfordernis umgangen, beeinträchtigt oder ausgeschaltet wird.
5.Lizenzerwerb
a.Während der jtlconnector und der JTL-Endpoint selbst kostenfrei heruntergeladen werden kann, bedürfen sie zur Lauffähigkeit eines Lizenzschlüssels. Von JTL-Software werden ggf. kostenlose, zeitlich begrenzte Test-Lizenzschlüssel bereitgestellt. Ein Anspruch auf solche kostenlose Lizenzschlüssel besteht seitens des Nutzers nicht. Darüber hinaus ist der Erwerb eines Lizenzschlüssels kostenpflichtig. Diese Lizenzschlüssel können nach Eröffnung eines Kundenkontos im Kundencenter von JTL-Software erworben bzw. heruntergeladen werden. Der Vertrag über den Erwerb des Lizenzschlüssels unterliegt ergänzend den allgemeinen Geschäftsbedingungen von JTL-Software.
b.JTL-Software ist in der Entscheidung über die Veräußerung bzw. Bereitstellung von Lizenzschlüsseln frei. Die Einräumung von Rechten nach diesen Bestimmungen bedeutet noch keinen Abschluss eines Vertrages über die Bereitstellung eines Lizenzschlüssels.
c.Soweit JTL-Software den Abschluss eines Vertrages über den Erwerb eines Lizenzschlüssels ablehnt, einschränkt, nur unter bestimmten Voraussetzungen gewährt oder zeitlich beschränkt, bedeutet dies ggf., dass die nach diesen Bestimmungen eingeräumten Rechte nicht in jeder Hinsicht ausgeübt werden können.
6.Schlussbestimmungen
Diese Lizenzbestimmungen unterliegen im Hinblick auf sämtliche Rechtsbeziehungen aus diesem Vertragsverhältnis die Anwendung des Rechts der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts.
Sofern der Kunde Kaufmann im Sinne des Handelsgesetzbuchs, juristische Person des öffentlichen Rechts oder öffentlich-rechtliches Sondervermögen ist, wird für sämtliche rechtlichen Auseinandersetzungen, die aufgrund dieser Lizenzbestimmungen entstehen, der Geschäftssitz von JTL-Software als ausschließlicher Gerichtsstand vereinbart.
